Innovation Rewarding Agreement ("IRA")
Please Read This Carefully! This Innovation Rewarding Agreement ("IRA") is made between You and RIGOL TECHNOLOGIES CO., LTD (hereinafter referred to as RIGOL) relating to this Rewarding Project Development. RIGOL has required that you accept these special terms, so please take the time to understand them.
If you click "I agree" and proceed to the Project Room for this Rewarding Project Development, this Innovation Rewarding Agreement (“IRA”) will be a valid and binding agreement between you and RIGOL and in addition to the existing Terms of Use for all purposes relating to this Rewarding Project Development. Please print and keep a copy of this IRA.
1. Solution. As a technical solution provider (hereinafter referred to as "Provider"), you may submit your Solution to the InnoCenter to which this IRA relates. The InnoCenter will evaluate the Provider's Solution to judge whether his/her technologies have met the requirement of the Rewarding Project Development. Upon the submission of the Solution, the Provider thereby agrees to provide reasonable assistance and additional information concerning your Solution to RIGOL, if requested.
2. Acceptance of Solution and License Permission. InnoCenter will notify the Provider within a reasonable period of time after the deadline set forth in the Rewarding Project Statement whether the Provider's Solution has been selected by RIGOL for a Reward. RIGOL will judge all the Solutions against the criteria set out in the Rewarding Project Statement and determine, in its sole discretion, which Solution best meets the requirement specified in the Rewarding Project Statement. RIGOL has absolute and sole discretion to determine whether to accept the Provider's Solution, whether to offer a reward or give extra rewards. The Provider agrees to waive any claim against InnoCenter for the Provider's failure to win a reward. The Provider should not take for granted that being compliant with the requirements specified in the Rewarding Project Statement indicates that the Solution will be eligible for a reward. The Solution provided by the Provider must NOT contain or include ideas, concepts, solutions or technology in respect of which a third party owns or controls the intellectual property. Solutions and descriptions thereof shall not include trademarks or product names of any corporations or entities without the permission of their respective owners.
Upon entering into Agreement, the Provider must guarantee that:
l The Solution provided by the Provider is an original work and it does not contain any third-party contents (e.g. works, text, graphics, artwork, logos, photographs, dialogue from plays, portraits of any third party, musical recordings, clips of videos); if any, the Provider has either obtained the rights to use such third-party content or the content of the Solution is considered to be publicly known and without any limitations on use.
l no person or entity other than the Provider has any right, ownership or other interest in any part of the Solution; unless otherwise disclosed at the time of the Solution.
l The use thereof by RIGOL, or the exercise by RIGOL of any of the rights granted under this Agreement, does not and will not infringe or violate any rights of any third party or entity, including but not limited to patent, copyright, trademark, business secret, confidentiality agreement, or any other rights.
l Providers have all the rights necessary for submitting the Solution, including the right of permissions and consents to submit the Solution and to grant all of the rights that you have to RIGOL hereunder, including the right for RIGOL to use and develop derivative works of and from the Solution.
l All persons who have been engaged by the Provider to work on the Solution or who appear in the Solution by other means shall
a. give you their explicit written consent to submit the Solution for unlimited, royalty-free use, exhibition and other exploitation in any manner and in any and all media, whether now known and existing or hereafter discovered or developed, for all or any purposes whatsoever.
b. provide written permission to include their names, images or pictures in or with your Solution (or if a minor who is not your child, you must have the permission of their parent or legal guardian) and you may be requested by RIGOL to provide permission in writing.
c. claim no expenses of any kind, including but not limited to the expenses arising from any use or exhibition of the Solution; and
d. have not been and are not currently under any union or guild agreement that results in any ongoing obligations resulting from the use and exhibition of the Solution.
l The Provider shall understand, recognize and accept that RIGOL may design or have designed a technical scheme that may be similar or identical to the Solution in terms of theme, concept, format or other respects. The Provider acknowledges and agrees that RIGOL shall have the right to use such same or similar schemes, and that you will not be entitled to any compensation arising from RIGOL's use of such schemes. In the event that your Solution is identical or similar to that of another Provider, RIGOL, at its sole discretion, reserves the right to select the best Solution based on either the score rank for the Solution or the most appropriate one that complies with the requirements specified in the Rewarding Project Statement from all of those submitted Solutions. Upon entering into this Agreement, the Provider agrees that: (i) all Solutions will not be returned; (ii) RIGOL and its authorized representatives have the unlimited right to alter and/or edit the Solution or any part or element thereof; and (iii) RIGOL and its authorized personnel, successors and authorized assigns have the right to use any and all Solutions, and the names, portraits, voices and images of all persons involved in the Solution, for future advertising, promotion and publicity in any manner and in any medium now known or hereafter discovered or developed throughout the world in perpetuity.
l All intellectual property rights, if any, in the idea or concept demonstrated by the Solution will remain with the Provider. By submitting a Solution to this Rewarding Project Development, each Provider agrees to grant to the RIGOL a royalty-free, non-exclusive license in respect of all such intellectual property rights, if any, for the purposes of commercial exploitation of the idea or concept demonstrated by the Solution. In addition, the Provider promises that if RIGOL accepts the Solution, the Provider agrees to transfer all intellectual property rights of the Solution to RIGOL.
3. Reward. Prize winners will be announced by RIGOL InnoCenter upon the completion of the Rewarding Project Development. RIGOL InnoCenter or its designated personnel will attempt to contact all the selected winners by emails or phones provided by each participant/team.
4. General Terms and Conditions. RIGOL has the right to verify each Provider's eligibility and compliance with this IRA. Participants are required to provide necessary data required for the participation by filling in the online registration form. Their private information will be protected under the Privacy Policy of InnoCenter. Providers can log in to the InnoCenter to update or modify their information. Neither InnoCenter nor RIGOL is responsible for human error, any incidents that result in the theft, destruction or unauthorized access to the Provider's account and Solution, or other factors beyond its reasonable control. Providers shall not register with multiple e-mail and/or street addresses. In the event of a dispute as to any Solution, the authorized account holder of the email address used to enter will be deemed to be the person who submitted the Solution. The authorized "account holder" is the natural person assigned with an email address by an Internet access provider, online service provider or other organization responsible for assigning email addresses for the domain associated with the submitted address.
5. Representations and Warranties. The Provider declares and guarantees that:
l All information ("Information of Technical Scheme Provider") provided concerning the Provider and, if applicable, the Provider's entity is true, accurate, current, and complete; and the Provider shall maintain and update the technical scheme provider information to keep it true, accurate, current and complete. If the Provider is an individual on behalf of a business or other entity, the Provider can be authorized to enter into this Agreement on behalf of that business or entity.
l Unless otherwise disclosed in the Solution, the Provider is the owner of the Solution and the Solution does not infringe or violate any patent, copyright, business secret, trademark or other third-party intellectual property right.
6. Law. The Provider agrees that this IRA agreement shall be governed by Chinese Law.
7. Conflict. In the event of any conflict between the terms and provisions of this IRA and other Terms of Use of RIGOL website, this IRA shall prevail.
